Terms of Service.

• Age Requirement: You must be at least 13 years old to create an account or use Axioo. If you are under 18, you must have consent from your parent or legal guardian.
• Account Accuracy: You agree to provide accurate and complete information during sign-up and to keep your account details current.
• Account Security: You are responsible for safeguarding your credentials and for all activities that occur under your account. Notify us promptly at prabhathsrinivas@axioo.co if you suspect unauthorized use.

Axioo maintains a strict zero-tolerance policy for abusive, harmful, objectionable, or illegal content and conduct.

Prohibited Content and Conduct

You may not post, upload, publish, transmit, or engage in content or conduct that:

• Is illegal, defamatory, libelous, harassing, threatening, abusive, or hateful.
• Contains explicit sexual material, violence, graphic gore, or pornography.
• Promotes discrimination, racism, bigotry, or harm against any individual or group.
• Infringes any third party's intellectual property, patent, trademark, trade secret, or privacy rights.
• Contains spam, deceptive claims, financial fraud, or unauthorized commercial solicitations.
• Attempts to reverse engineer, scrape, overload, disrupt, or gain unauthorized access to the App or its systems, or circumvent security or access controls.
• Impersonates any person or entity or misrepresents your affiliation.

Reporting, Moderation & Enforcement

• In-App Reporting & Blocking: Every pitch video, comment, direct message, and user profile includes tools to report content or users and to block accounts.
• Moderation Action: We aim to review submitted content reports within 24 hours and to act on violations promptly.
• Removal & Termination: Content violating these Terms may be removed, and accounts engaging in abusive behavior may be suspended or terminated.
• Statement of Reasons & Appeal: Where required by applicable law (including the EU Digital Services Act), if we remove your content or restrict your account we will provide you with a statement of reasons and a means to appeal the decision by contacting prabhathsrinivas@axioo.co.

• Ownership: You retain ownership of the video pitches, posts, comments, photos, and text you upload to Axioo ("User Content").
• License to Axioo: By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers such as our hosting and video-streaming vendors, solely to operate the App) license to host, store, stream, display, reproduce, and adapt (for formatting and technical purposes) your User Content in order to operate, provide, and improve the App, and to promote the App. This license ends when you delete your User Content or account, except that (a) residual copies may persist in backups for a limited period, and (b) User Content you shared with others (such as direct messages) may remain accessible to those recipients.
• Responsibility & Warranty: You are solely responsible for your User Content and represent that you hold all rights and permissions necessary to post it and to grant the license above.
• Feedback: If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

The App, including its software, design, text, graphics, logos, and the "Axioo" name and marks, is owned by Axioo or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of the App except as expressly permitted.

The App relies on third-party services (including Supabase, Mux, and OpenCorporates) and may contain links to third-party sites (such as LinkedIn). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services may be governed by their own terms.

• Axioo is a video networking platform for startup founders and investors. Axioo is not a registered broker-dealer, funding portal, or investment advisor.
• Pitch videos, metrics, financial asks, and valuation data posted by founders are for informational and networking purposes only.
• Axioo does not verify financial metrics, offer investment advice, solicit investments, or execute securities transactions. Any discussions or agreements between founders and investors occur independently, outside the platform, and at their own risk.
• Nothing on the App constitutes an offer or solicitation to buy or sell any security. You are responsible for your own compliance with applicable securities and financial laws.

Certain features may require payment. Fees, billing cycles, and renewal terms will be disclosed at the point of purchase. Payments are processed by our third-party payment processor. Unless required by law or stated otherwise, fees are non-refundable. Subscriptions renew automatically until cancelled; you can manage or cancel through your app-store account or in-app settings.

If you believe content on the App infringes your copyright, send a notice to our designated agent at prabhathsrinivas@axioo.co including: (1) your signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and its location in the App; (4) your contact information; (5) a statement of good-faith belief that the use is unauthorized; and (6) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act. We will respond to valid notices and may remove infringing content and terminate repeat infringers. A counter-notice process is available to affected users.

You may terminate your account at any time in Settings → Delete Account.

We may suspend or terminate your access to the App if you violate these Terms or engage in conduct harmful to Axioo or its community. Except where immediate action is needed to prevent harm, comply with law, or address a serious violation, we will provide notice and, where required by law, a statement of reasons and an opportunity to appeal. Sections that by their nature should survive termination (including content licenses granted, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

The App is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Axioo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the App will be uninterrupted, secure, or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, and you may have additional rights under your local consumer-protection law.

To the maximum extent permitted by law, Axioo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business, arising out of or related to your use of the App. To the maximum extent permitted by law, Axioo's total aggregate liability for all claims relating to the App will not exceed the greater of (a) the total amount you paid us in the 12 months before the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud or, where applicable, death or personal injury caused by negligence).

To the extent permitted by law, you agree to indemnify and hold harmless Axioo and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the App, your violation of these Terms, or your violation of any law or third-party right.

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

Informal Resolution: Before filing a claim, you agree to contact us at prabhathsrinivas@axioo.co and attempt to resolve the dispute informally for at least 30 days.

Arbitration: Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association rather than in court, and you and Axioo waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing us.

Consumer Rights: If you are a consumer in the EEA, UK, or another region whose mandatory law gives you the right to bring claims in your local courts or before your local regulator, nothing in this section removes those rights.

If you download the App from the Apple App Store or Google Play, you acknowledge:

• These Terms are between you and Axioo only, not with Apple or Google.
• Apple and Google have no obligation to provide maintenance or support for the App; Axioo is solely responsible for support and for any product warranties to the extent not effectively disclaimed.
• Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
• You represent that you are not located in a country subject to a U.S. embargo or designated as a "terrorist-supporting" country, and are not on any U.S. restricted-parties list.
• You will comply with the applicable app-store terms of service when using the App.

We may revise these Terms from time to time. For material changes, we will provide notice in-app or by email before they take effect and update the "Effective Date." Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the App and may delete your account.

• Entire Agreement: These Terms and our Privacy Policy are the entire agreement between you and Axioo regarding the App.
• Severability: If any provision is found unenforceable, the remaining provisions stay in effect.
• Waiver: Our failure to enforce a provision is not a waiver of it.
• Assignment: You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices: We may provide notices to you in-app or by email to the address on your account.
